Clear operating terms for serious growth engagements.
These terms explain how RAPID MECH ADS scopes work, manages approvals, protects account ownership, handles payments, and governs campaign delivery across strategy, creative, media, reporting, and optimization services.
1. Engagement Scope
Services are defined by the active proposal, retainer, or written approval.
RAPID MECH ADS provides services including but not limited to SEO, PPC management, Google Ads, Meta Ads, social media marketing, content strategy, lifecycle email marketing, analytics implementation, reporting, and conversion rate optimization. Scope is limited to the services described in the signed proposal, invoice, or written statement of work.
Any request outside the approved scope may be quoted separately or added to the next billing cycle. Strategic recommendations do not automatically become deliverables until approved by both parties.
2. Approvals and Delivery
Execution speed depends on access, decisions, and response time.
Campaign launches, creative updates, tracking setup, and reporting rely on timely access to platforms, assets, and internal approvals. Delays in access, approvals, or required inputs may shift planned timelines without changing the agreed payment schedule.
Unless stated otherwise, deliverables are considered approved when the client gives written confirmation or when no change request is submitted within a commercially reasonable review window after delivery.
3. Fees and Payment
Retainers secure strategy capacity and active management time.
Monthly fees are billed in advance unless a separate written arrangement says otherwise. Media spend, platform fees, software costs, design licenses, data subscriptions, or third-party tools are not included unless explicitly listed as included.
Late payment may pause active work, ad management, reporting, or account support until the balance is cleared. RAPID MECH ADS may require prepayment before restarting paused services.
4. Client Responsibilities
Clients remain responsible for the truth, legality, and approval of their offers.
The client must provide accurate business information, lawful offers, brand assets they are permitted to use, and decision-makers who can review strategy and creative. The client is responsible for final legal, financial, regulatory, and compliance approval of all campaigns, copy, and offers.
If the client withholds critical information that affects campaign performance or compliance, RAPID MECH ADS is not liable for resulting delays, disapprovals, or underperformance.
5. Account and Asset Ownership
Your business keeps ownership of its core accounts and approved assets.
Unless otherwise agreed in writing, the client retains ownership of ad accounts, analytics properties, approved brand assets, websites, CRM data, and first-party customer information. RAPID MECH ADS retains ownership of its internal frameworks, operating methods, workflow systems, templates, and proprietary process documentation.
Upon full payment of outstanding balances, campaign materials specifically created for the client and approved for use may continue to be used by the client in the normal course of business.
6. Confidentiality
Sensitive business information is handled on a need-to-know basis.
Both parties agree to protect confidential information shared during the engagement, including performance data, business plans, product details, pricing, customer insights, and internal processes. Access is limited to people or service providers who need that information to perform the work.
7. Termination
Either party may end the engagement subject to the active agreement terms.
Unless a custom agreement states otherwise, either party may end recurring services with written notice before the next billing cycle. Completed work, accrued fees, third-party costs, and approved deliverables remain payable through the effective termination date.
RAPID MECH ADS may terminate or suspend services immediately in cases involving illegal activity, abusive conduct, repeated non-payment, or material breach of these terms.
